Terms of Service

These terms govern your use of Gapscore (gapscore.app and related services), operated by Farasu Holdings [full legal name and entity type] ("we", "us"). By creating an account or using Gapscore you agree to them on behalf of yourself and any business you represent.

1. The service

Gapscore helps web, SEO and marketing professionals find local businesses that may need their services. It scores businesses on public signals (the Need Score), suggests what to pitch, drafts outreach, and generates preview websites.

Scores, confidence levels, recommendations, pitch drafts and preview sites are estimates produced from public and third-party data and, in places, by AI models. They may be incomplete or wrong. They are not a statement of fact about any business, and you should check anything you rely on before using it.

2. Accounts

You must be at least 18 and use Gapscore for business purposes. You sign in with a link sent to your email; keep access to that inbox secure. You are responsible for activity in your workspace.

We may suspend or close accounts that breach these terms, put other users or the businesses in our data at risk, or remain unpaid.

3. Plans, credits and payment

  • Paid plans are billed monthly in US dollars in advance through Stripe, and renew until cancelled.
  • Each plan adds a number of credits every billing period. Actions cost credits as shown in the app (currently: search 10, re-score 3, pitch draft 2, preview site 5). If an action fails, its credits are returned automatically.
  • Credit packs are one-off purchases available on paid plans. Unused credits carry over while your workspace is open. Credits have no cash value and cannot be transferred.
  • Upgrades take effect immediately with a prorated charge. Downgrades and cancellations take effect at the end of the current billing period. You can manage your plan in the Stripe customer portal.
  • Preview-site hosting is billed separately per published site, and custom domains annually, at the prices shown in the app. If hosting lapses, the site stays up for a 30-day grace period and is then taken offline.
  • Fees are non-refundable except where the law requires otherwise or we say so in writing. If a payment is refunded or reversed, we may remove the unspent credits it bought.
  • Prices exclude taxes unless stated. We will give at least 30 days' notice of price changes to existing plans.

4. Acceptable use

You may use Gapscore to research and contact businesses about your own professional services. You must not:

  • contact businesses in breach of anti-spam, telemarketing or privacy laws, including CAN-SPAM, the TCPA and state telemarketing rules, and in the UK PECR and UK GDPR, or contact anyone who has asked not to be contacted;
  • present a preview site as the business's official website, or use it to impersonate the business, mislead its customers or collect their data;
  • scrape, bulk-export, resell or build a separate database from Gapscore data, or try to access data beyond what the product shows you;
  • use Gapscore to harass, defame or discriminate against any business or person;
  • circumvent a business's removal from Gapscore, credit limits, or security controls, or interfere with the service;
  • use Gapscore in breach of the third-party terms in section 5.

5. Third-party data and services

Gapscore uses data and services from third parties, including Google Maps Platform, DataForSEO, and public websites and registries. Some of that data may only be cached for a limited time, cannot be exported, and may be removed or changed by its provider.

Google Maps content in Gapscore is subject to the Google Maps/Google Earth Additional Terms of Service (https://maps.google.com/help/terms_maps/) and the Google Privacy Policy (https://policies.google.com/privacy). By using Gapscore you agree to those terms as they apply to that content.

Businesses can ask to be removed from Gapscore at gapscore.app/remove. Removed businesses no longer appear in any account.

6. Your content

You own what you put into Gapscore, such as notes and edits to pitches. You give us a licence to host, process and display it to run the service for you.

Preview sites are generated from public information about the business and your inputs. You are responsible for how you use and share them. Take a preview site down, or ask us to, if the business objects.

If you send us feedback or suggestions, we may use them without obligation to you.

7. Our property

Gapscore, the Need Score model, the software and the site are ours or our licensors'. These terms give you a limited, non-exclusive, non-transferable right to use the service while your account is active.

8. Availability and changes

We work to keep Gapscore available but do not promise uninterrupted service. We may change, add or remove features. If we make a material change that reduces a paid plan, we will tell you in advance, and you may cancel.

9. Disclaimers

Gapscore is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not promise that any business will need or buy your services.

10. Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive losses, or for lost profits, revenue, data or goodwill. Our total liability for any claim relating to Gapscore is limited to the fees you paid us in the 12 months before the claim arose. Nothing in these terms limits liability that cannot be limited by law.

11. Indemnity

You will defend and indemnify us against third-party claims arising from your outreach, your use of preview sites, or your breach of these terms or of applicable law.

12. Ending your account

You can stop using Gapscore and cancel at any time. We may end these terms or your access if you breach them. Sections that by their nature should survive (including payment, acceptable use, disclaimers, liability and indemnity) survive termination. We delete workspace data as described in our Privacy Policy.

13. General

These terms are governed by the laws of [the State of Colorado, USA], and disputes will be heard in the courts of [Denver County, Colorado], unless mandatory consumer or local law gives you other rights. We may update these terms; if a change is material we will notify you by email or in the app at least 14 days before it applies. If any part is unenforceable, the rest remains in effect. These terms are the entire agreement between us about Gapscore.
